Terms of Use — Zelh AI

These Terms of Use ("Terms") govern your access to and use of the Zelh AI platform and services (the "Service") operated by Zelh LLC ("Zelh", "we", "our", or "us").
By accessing or using Zelh AI, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Overview of Zelh AI
Zelh AI is a virtual AI assistant designed specifically for logistics companies. It provides AI-powered automation including but not limited to:
- Voice call automation (inbound/outbound)
- Email and messaging automation
- Document workflow automation (e.g., POD retrieval, rate confirmations)
- Quote collection, verification, cost negotiation
- Integration with popular Transportation Management Systems (TMS)
- Custom knowledge base training and intelligent responses
2. Eligibility
You may use Zelh AI only if you are a legal entity or an authorized representative of a company, aged 18 or older, and fully able to enter into a binding contract. By using the Service, you affirm that you meet these requirements.
3. Account and access
You are responsible for:
- Providing accurate, current information during registration;
- Maintaining the confidentiality of access credentials;
- All activities are conducted under your account.
We reserve the right to suspend or terminate access if misuse or unauthorized activity is detected.
4. License and intellectual property
Subject to these Terms, Zelh grants you a non-exclusive, non-transferable, revocable license to use Zelh AI for internal business purposes.
All intellectual property rights, including AI models, workflows, interfaces, branding, and documentation, are owned by Zelh or its licensors. You agree not to reproduce, distribute, modify, reverse-engineer, or create derivative works from the Service or any part thereof.
5. Acceptable use policy
You agree not to use Zelh AI to:
- Violate any applicable laws or third-party rights;
- Send spam or engage in unauthorized marketing;
- Impersonate any person or entity;
- Upload, transmit, or solicit unlawful or abusive content;
- Manipulate call recordings or email headers;
- Circumvent usage limitations, billing terms, or system restrictions.
Zelh reserves the right to monitor usage and restrict access if violations occur.
6. Data use and privacy
Use of Zelh AI is subject to our Privacy Policy, which explains how we collect, store, and process user data.
In addition:
- Customer data, including email content, voice transcripts, and document data, may be processed by the AI system to complete assigned tasks;
- We do not sell personal data;
- The Service may integrate with third-party platforms (e.g., TMS, email providers) at your request.
You are responsible for obtaining the necessary consent from your users, clients, or carriers, as applicable (e.g., call recording notifications, GDPR compliance).
7. Integration and third-party services
Zelh AI may interface with third-party systems (e.g., TMS platforms, CRMs, messaging tools). You acknowledge that:
- Integration requires proper configuration by your team or our onboarding specialists;
- Zelh is not responsible for downtime, errors, or data issues originating from third-party platforms.
8. Limitation of liability
To the fullest extent permitted by law, Zelh disclaims all liability for:
- Indirect, incidental, or consequential damages;
- Loss of business, data, or profits;
- Errors are made by the AI based on user input, training data, or the behavior of third-party systems.
Zelh’s total liability shall not exceed the amount you paid for the Service in the past 12 months.
9. Indemnification
You agree to indemnify and hold harmless Zelh and its officers, affiliates, and employees from any claims, damages, or liabilities arising out of:
- Your use of the Service;
- Violation of these Terms;
- Violation of any applicable law or third-party rights.
10. Service modifications and availability
We may update or discontinue any part of the Service, temporarily or permanently, with or without notice. We aim to maintain 99% uptime, excluding planned maintenance or force majeure.
11. Termination
We reserve the right to suspend or terminate your access if:
- You breach these Terms;
- Fail to pay for paid tiers;
- Engage in behavior that disrupts platform operations or violates laws.
Upon termination, your right to use Zelh AI ceases immediately, and we may delete your data unless legally required to retain it.
12. Governing law
These Terms shall be governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles.
Any dispute shall be resolved in the competent courts located in Buncombe County, NC
13. Changes to Terms
We may revise these Terms from time to time. The latest version will always be posted with a “last updated” date. Your continued use of the Service constitutes acceptance of the new Terms.
